18.延期交貨違約金
late delivery and penalty
除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。
if the sellers fail to make delivery on time as stipulated in the contract ， with exception of force majeure， the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . the penalty ， however ， shall not exceed 5% of the total value of the goods . the rate of penalty is ged at 0.5%for every seven days ， if less that seven days. in case ， the payment is not made through l/c ， the sellers shall pay the penalty ed as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應將上述發(fā)生的情況及時通知買方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
20.爭議之解決方式：

使用說明
一、本公約為示范文本。
二、在前期物業(yè)管理期間，由建設單位根據(jù)本示范文本制訂業(yè)主公約，并在物業(yè)銷售前向物業(yè)買受人明示;物業(yè)買受人與建設單位簽訂物業(yè)買賣合同時應當對遵守業(yè)主公約作出書面承諾;業(yè)主大會成立后，由業(yè)主大會根據(jù)本示范文本制訂或修改業(yè)主公約。
三、使用者可在示范文本條文之外增加認為有必要補充的內容。
第一條為維護本物業(yè)管理區(qū)域全體業(yè)主、非業(yè)主使用人在物業(yè)管理活動中的合法權益，維護公共環(huán)境衛(wèi)生和正常秩序，保障物業(yè)的安全與合理使用，建設管理有序、服務完善、環(huán)境優(yōu)美、文明和諧的新型社區(qū)，根據(jù)有關法律法規(guī)制定本公約。

第八條業(yè)主應參加業(yè)主大會會議，協(xié)助業(yè)主大會、業(yè)主委員會、物業(yè)管理企業(yè)以及相關單位在物業(yè)管理方面的工作。
第九條業(yè)主同意按照有利于物業(yè)使用、安全以及公平、合理的原則，正確處理供水、排水、通行、通風、采光、維修、裝飾裝修、環(huán)境衛(wèi)生、環(huán)境保護、房屋外觀等方面的關系。
第十條業(yè)主、非業(yè)主使用人應當按照規(guī)劃部門批準的用途使用物業(yè)，不得擅自改變物業(yè)的使用功能。
第十一條業(yè)主對物業(yè)專有部分的使用、維修、養(yǎng)護行為不得妨礙其他業(yè)主的合法權益和業(yè)主的共同利益。
第十二條業(yè)主裝飾裝修物業(yè)時應遵守以下約定：
(一)應當事先告知物業(yè)管理企業(yè)，并與物業(yè)管理企業(yè)簽訂裝飾裝修管理協(xié)議。
(二)應在指定地點放置裝飾裝修材料及垃圾，不得擅自占用共用部位和公共場所。
(三)業(yè)主裝修時應嚴格遵守裝修施工時間(上午 時至 時，下午 時至 時)，已有業(yè)主入住的，晚間時至次日上午時，中午 時至 時以及節(jié)假日，不得從事敲、鑿、鋸、鉆等產生嚴重噪聲的施工。
(四)按規(guī)定可以安裝防盜網的，應按照統(tǒng)一的標準制作安裝，以保持物業(yè)區(qū)域外觀統(tǒng)一。
(五)業(yè)主應遵守裝修管理協(xié)議，因違反裝飾裝修管理協(xié)議而影響物業(yè)用電、用水、供氣、通訊、有線電視等使用功能的，應承擔相應責任。
(六)因裝飾裝修房屋影響共用部位、共用設施、設備的安全使用以及侵害相鄰業(yè)主合法權益的，業(yè)主應及時恢復原狀并承擔相應的賠償責任。
第十三條物業(yè)在使用中存在安全隱患，已經或者即將危及公共利益及他人利益的，責任人應當及時應急維修;責任人不履行或者無法履行應急維修義務的，物業(yè)管理企業(yè)可在社區(qū)工作站(社區(qū)居民委員會)、業(yè)主委員會有關人員到場見證下進入物業(yè)內部應急維修;維修所需的費用由責任人承擔。
第十四條因維修養(yǎng)護物業(yè)需要進入相關業(yè)主的物業(yè)專用部分時，業(yè)主或物業(yè)管理企業(yè)應事先告知相關業(yè)主，相關業(yè)主應給予必要的配合。
相關業(yè)主阻撓維修養(yǎng)護造成物業(yè)損壞及其他損失的，應負責修復并承擔賠償責任。
第十五條業(yè)主應當按設計預留的位置安裝空調，未預留設計位置的，應按物業(yè)管理企業(yè)指定的位置安裝，并按要求做好噪音及冷凝水的處理。
第十六條業(yè)主及非業(yè)主使用人使用電梯應遵守本物業(yè)區(qū)域的電梯使用的有關規(guī)定。損壞電梯設備的，應承擔相應的賠償責任。
第十七條物業(yè)區(qū)域的車輛行使、停放應遵守本區(qū)域停車場使用規(guī)定和使用協(xié)議。
第十八條依照有關規(guī)定飼養(yǎng)犬只的，在犬只外出時應為犬只戴防護口罩、佩束犬鏈，并由成年人牽領、看管，即時清除犬只排出的糞便。
第十九條本物業(yè)管理區(qū)域禁止下列行為：
(一)擅自改變房屋的結構和外貌;
(二)擅自占用或損壞公共樓梯、扶欄、走道、地下室、平臺、外墻、屋面等共用部位，擅自移動或損壞共用設施、設備;
(三)擅自在天井、庭院、平臺、屋頂、綠地、道路等共用部位、共用場地搭建(構)筑物;
(四)擅自擺設攤點;
(五)侵占或損壞道路、綠地、花卉樹木、藝術景觀及文體休閑設施;
(六)亂拋垃圾雜物和高空拋物;
(七)違反有關規(guī)定堆放易燃、易爆、劇毒、放射性物品，排放有毒有害物質;
(八)室內不得制造超標準噪聲，包括大音量播放電視、音響，舉行喧鬧的聚會、舞會，機器設備噪聲等;
(九)違反規(guī)定在物業(yè)管理共用部位和相關場所懸掛、張貼和亂涂亂畫;
(十)違反有關規(guī)定飼養(yǎng)家禽、家畜及寵物;

第二十條業(yè)主應按照有關規(guī)定交納、使用和管理維修基(資)金。

賣方應在合同規(guī)定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發(fā)生的空船費或滯期費由賣方負擔。在貨物超過船舷并脫離吊鉤以前一切費用和風險由賣方負擔。
cif或cfr
賣方須按時在裝運期限內將貨物由裝運港裝船到目的港。在cfr術語下，賣方應在裝船前2天電傳/傳真/電報買方合同號、品名、發(fā)票價值及開船日期，以便買方安排保險。
賣方須按時在裝運期限內將貨物由裝運港裝運至目的港。
14.裝運通知
一俟裝載完畢，賣方應在_________小時內電傳/傳真/電報買方合同編號、品名、已發(fā)運數(shù)量、發(fā)票總金額、毛重、船名/車/機號及啟程日期等。
15.質量保證：
貨物品質規(guī)格必須符合本合同及質量保證書之規(guī)定，品質保證期為貨到目的港_________個月內，在保證期限內，因制造廠商在設計制造過程中的缺陷造成的貨物損害應由賣方負責賠償。
16.商品檢驗：
賣方須在裝運前____日委托_________檢驗機構對合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托_________檢驗機構進行復檢。
17.索賠
如經中國_________檢驗機構復檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質量與本合同及質量保證書之規(guī)定不符，買方可于貨到目的港后_________天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質量保證期不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣方提出索賠。18.延期交貨違約金
除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應將上述發(fā)生的情況及時通知買方。20.爭議之解決方式：
任何因本合同而發(fā)生或與本合同有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。
21.法律適用
本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》。
22.本合同使用的fob、cfr、cif、ddu術語系根據(jù)國際商會《incoterms1990》
23.文字：本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準。
